1. Acceptance of Terms
By utilizing any service provided by BlueTech (a subsidiary of Team Smart Group S.A., headquartered in Yaoundé, Cameroon), you confirm that you have read, understood, and agree to these T&Cs and our Privacy Policy. If you do not agree, please do not use our services. (We're serious; the lawyers made us put that in.)
2. Services Offered
BlueTech specializes in Digital Security, ICT Solutions, Network Installation, CCTV Surveillance, App Development, and Web Development.

Service Scope: All specific project details, deliverables, timelines, and costs will be defined in a separate Statement of Work (SOW) or Service Agreement, which will supersede these T&Cs in the event of a conflict.

CCTV and Security: While we strive for system perfection, BlueTech is not an insurer against criminal activity. Our systems are tools designed to aid surveillance and deterrence, but their effectiveness depends on proper client use and external factors.
3. Client Obligations

Access and Cooperation: The Client must provide BlueTech personnel with timely access to necessary information, systems, and premises to perform the services. Delays caused by lack of access may impact timelines and costs.

Data Responsibility: The Client is solely responsible for the integrity, security, and legality of all data and content provided to BlueTech for use in any development or hosting service.

Compliance: The Client agrees to comply with all relevant Cameroonian laws and regulations concerning data, privacy, and digital security.
4. Fees, Payment, and Cancellation

Pricing: All prices, payment schedules, and currency will be detailed in the specific SOW or Invoice.

Payment Terms: Unless otherwise agreed, services typically require an upfront deposit (non-refundable) before initiation, with the balance due upon project completion or based on defined milestones.

Late Payments: BlueTech reserves the right to suspend services (including website hosting or network maintenance) for late payments. Late fees may apply as stipulated in the SOW.

Cancellation: Cancellation by the client before project completion may result in the forfeiture of the initial deposit and payment for all work completed up to the date of written cancellation.
5. Intellectual Property (IP)

Client IP: The Client retains all intellectual property rights to any content, data, or materials provided to BlueTech.

BlueTech IP: BlueTech retains all IP rights to its underlying development tools, proprietary software, and methodologies used to deliver the services.

Project Deliverables: Upon full and final payment, the Client will own the IP rights to the final, completed, customized deliverables (e.g., the code for a custom app, the content structure of a website).
6. Warranty and Limitation of Liability

Warranty: BlueTech warrants that services will be performed in a professional manner consistent with prevailing industry standards in Cameroon. Specific warranties for products (e.g., CCTV hardware) will be passed through from the manufacturer.

Limitation: To the maximum extent permitted by law, BlueTech shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or business interruption) arising out of the use or inability to use our services. Our total liability for any claim shall not exceed the total fees paid by the Client to BlueTech for the specific service from which the claim arose in the preceding twelve (12) months. (We fix tech; we don't buy new businesses.)
7. Governing Law
These T&Cs shall be governed by and construed in accordance with the laws of the Republic of Cameroon. Any disputes arising from these terms will be settled in the competent courts of Yaoundé.
8. Changes to Terms
BlueTech reserves the right to modify these T&Cs at any time. We will notify clients of significant changes. Continued use of our services after such modifications constitutes acceptance of the new T&Cs.
